Terms of Service

Effective Date: May 8, 2026

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, software, integrations, AI features, workflows, and related services provided by Bosmos, Inc. (“Bosmos,” “we,” “us,” or “our”). By creating an account, connecting an integration, purchasing a subscription, using Bosmos, or otherwise accessing the Services, you agree to these Terms. If you use Bosmos on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to that organization. If you do not agree to these Terms, do not use the Services.

1. What Bosmos Provides

Bosmos is an AI-powered business workflow platform designed to help users identify, organize, understand, and act on business opportunities across connected systems. Depending on the features and integrations you enable, Bosmos may help you:

  • connect email accounts such as Gmail or Outlook
  • analyze communication history
  • surface leads, referrers, partners, forgotten opportunities, and relationship signals
  • summarize relevant conversations
  • generate suggested replies and follow-ups
  • perform Deep Searches
  • support relationship and opportunity workflows
  • connect with calendars, CRMs, invoicing tools, payment-related systems, and other business tools
  • automate selected actions through connected integrations
  • support autonomous workflows where enabled by you Bosmos is software. Bosmos does not guarantee any specific business, financial, revenue, sales, legal, tax, investment, employment, or operational outcome.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use Bosmos. You may not use Bosmos if:

  • you are prohibited from doing so under applicable law
  • your account has been suspended or terminated by Bosmos
  • you are using the Services for unlawful, abusive, deceptive, harmful, or unauthorized purposes
  • you are located in a jurisdiction where use of the Services is prohibited

3. Accounts and Security

You are responsible for maintaining the confidentiality and security of your account credentials. You are responsible for all activity that occurs under your account, including activity by employees, contractors, agents, team members, administrators, or other authorized users. You agree to:

  • provide accurate account information
  • keep your account information current
  • maintain secure credentials
  • promptly notify Bosmos of unauthorized access or security concerns
  • use reasonable safeguards when connecting third-party systems
  • ensure that anyone using your account complies with these Terms Bosmos is not responsible for loss or harm caused by unauthorized access resulting from your failure to protect your account, credentials, devices, integrations, or connected systems.

4. Subscriptions, Fees, and Billing

Bosmos may offer paid subscriptions, credits, usage-based services, add-ons, beta plans, implementation services, and other paid offerings. By purchasing a paid offering, you authorize Bosmos and its payment processors to charge your payment method for applicable fees, taxes, renewals, usage, and add-ons. Unless otherwise stated at checkout or in an applicable order form:

  • subscriptions renew automatically
  • fees are charged in advance
  • usage-based fees may be charged as incurred or at periodic intervals
  • fees are non-refundable except as expressly stated in our Refund and Billing Policy or required by law
  • you are responsible for all applicable taxes
  • unpaid amounts may result in suspension or termination of access Bosmos may change pricing, plan features, usage limits, and billing terms prospectively. We will provide notice where required by law.

5. Refunds

Refunds are governed by the Bosmos Refund and Billing Policy. Unless required by law or expressly stated in that policy, all fees are non-refundable, including subscription fees, initial scan fees, Deep Search credits, opportunity credits, action credits, workflow credits, add-ons, setup fees, and implementation fees.

6. Credits, Usage Limits, and Plan Features

Bosmos may use credits, usage limits, quotas, fair use limits, or other controls to manage access to features such as:

  • initial scans
  • Deep Searches
  • opportunity surfacing
  • AI-generated drafts
  • AI-assisted actions
  • autonomous workflows
  • integration actions
  • storage
  • monitoring frequency
  • historical lookback windows Credits and usage rights are software usage rights only. They have no cash value, are not stored value, and may not be transferred, sold, assigned, exchanged, or redeemed for cash. Unless otherwise stated:
  • included plan credits expire at the end of the applicable billing cycle
  • unused credits do not roll over
  • unused credits are not refundable
  • purchased credits may be subject to expiration dates or usage terms
  • Bosmos may limit or throttle excessive usage
  • Bosmos may require additional payment for high-volume, unusual, or resource-intensive usage

7. Connected Accounts and Integrations

Bosmos may allow you to connect third-party accounts and services, including email providers, calendars, CRMs, invoicing tools, payment-related systems, communication platforms, and other business tools. By connecting an integration, you authorize Bosmos to access, process, transmit, and use data from that integration as needed to provide the Services you enable. You represent and warrant that:

  • you have the right to connect the account or system
  • you have the right to allow Bosmos to access and process the connected data
  • your use of the integration complies with applicable laws, contracts, policies, and third-party terms
  • your instructions to Bosmos are lawful and authorized Third-party integrations are not controlled by Bosmos. Bosmos is not responsible for third-party downtime, API limits, data inaccuracies, permission changes, service disruptions, account restrictions, billing issues, or failures caused by third-party systems. You may revoke connected account access through Bosmos settings where available or directly through the applicable third-party provider.

8. Email Access and Communication Data

If you connect an email account, such as Gmail, Outlook, or Microsoft 365, Bosmos may request access through the applicable provider’s authorization flow. The provider will show the permissions requested before you authorize access. Depending on the features you enable, Bosmos may access and process email-related information such as sender and recipient information, subject lines, timestamps, message metadata, thread history, message content or excerpts, labels, folders, reply history, and conversation context. Bosmos uses this information to provide features such as opportunity detection, relationship summaries, evidence snippets, Deep Searches, suggested replies, writing-style learning, and workflow support. Where a feature only requires read access, Bosmos uses read access. If you enable features that require additional permissions, such as sending messages, scheduling, invoicing, or autonomous workflows, Bosmos may request additional permissions.

9. Google API Services

If you connect a Google account, Bosmos’ use and transfer of information received from Google APIs will comply with the Google API Services User Data Policy, including the Limited Use requirements. Bosmos uses Google user data only to provide or improve user-facing features that you request or enable. Bosmos does not sell Google user data, use Google user data for advertising, or allow advertisers to access Google user data. Google’s Limited Use requirements restrict use and transfer of Google API data to providing or improving user-facing features, with limited exceptions. You may revoke Bosmos’ access to your Google account through your Google account permissions or Bosmos account settings where available.

10. Microsoft and Outlook Data

If you connect a Microsoft, Outlook, or Microsoft 365 account, Bosmos will request access through Microsoft’s authorization and consent process. Bosmos uses Microsoft account data only to provide the Services you request or enable, such as reading relevant mailbox data, analyzing conversations, generating drafts, surfacing opportunities, supporting workflows, and interacting with connected Microsoft services where authorized. You may revoke Bosmos’ access through your Microsoft account settings or through Bosmos account settings where available.

11. AI Features

Bosmos uses artificial intelligence and machine learning technologies to provide features such as:

  • opportunity detection
  • contact classification
  • relationship summaries
  • writing-style learning
  • evidence extraction
  • Deep Search analysis
  • recommended next actions
  • draft generation
  • reply suggestions
  • workflow support
  • autonomous execution support AI outputs may be inaccurate, incomplete, outdated, inappropriate, or unsuitable for a particular purpose. You are responsible for reviewing, approving, editing, sending, relying on, or acting on any AI-generated output, unless you have expressly enabled autonomous workflows. Bosmos does not provide legal, tax, accounting, financial, investment, employment, medical, or professional advice. Any outputs related to those subjects are for informational and workflow-support purposes only and should be reviewed by qualified professionals where appropriate.

12. Autonomous Workflows

Bosmos may offer autonomous workflows that perform actions through connected systems based on the permissions, settings, integrations, limits, and instructions you configure. Depending on enabled features, autonomous workflows may:

  • prepare or send messages
  • respond to inbound communications
  • create reminders
  • schedule or coordinate meetings
  • update workflow status
  • prepare or send invoice-related communications
  • interact with invoicing tools
  • track replies, invoice status, or outcomes
  • move business opportunities forward
  • perform other workflow actions you authorize By enabling autonomous workflows, you authorize Bosmos to take actions on your behalf within the settings, permissions, and integrations you configure. You are responsible for:
  • configuring workflow permissions
  • setting appropriate limits
  • reviewing autonomous mode settings
  • ensuring recipients and content are appropriate
  • ensuring workflows comply with applicable laws and contracts
  • monitoring business-critical workflows
  • disabling workflows when appropriate
  • maintaining connected accounts and credentials Bosmos is not responsible for business consequences resulting from authorized autonomous workflows, including lost opportunities, customer reactions, incorrect recipient selection, missed replies, failed sends, failed meetings, failed invoices, unsuccessful collections, or undesired business outcomes, except to the extent caused solely by Bosmos’ gross negligence or willful misconduct.

13. User Content

“User Content” means any data, content, materials, prompts, instructions, messages, emails, files, contact information, customer information, connected account data, workflow instructions, edits, outputs, feedback, or other information that you provide, submit, connect, authorize, upload, generate, approve, or make available through Bosmos. You retain ownership of your User Content. You grant Bosmos a worldwide, non-exclusive, royalty-free license to access, host, store, process, copy, transmit, display, analyze, modify, and use User Content as reasonably necessary to:

  • provide the Services
  • operate connected integrations
  • generate outputs
  • support workflows
  • improve user-facing features
  • secure the Services
  • provide support
  • comply with law
  • enforce these Terms Bosmos does not sell your User Content. Bosmos does not use connected email content for advertising.

14. Output

“Output” means AI-generated or system-generated content created by Bosmos, including summaries, classifications, evidence snippets, recommendations, drafts, replies, workflows, scores, labels, and suggested actions. Subject to your compliance with these Terms, Bosmos assigns to you any rights it has in Output generated for you, excluding Bosmos technology, models, systems, software, templates, workflows, prompts, infrastructure, and other proprietary materials. You are responsible for determining whether Output is accurate, appropriate, lawful, and suitable for your use. You acknowledge that similar or identical Output may be generated for other users.

15. Feedback

If you provide feedback, suggestions, ideas, comments, bug reports, product requests, or recommendations, you grant Bosmos the right to use them without restriction or compensation. Bosmos may use feedback to improve, develop, market, or modify the Services.

16. Bosmos Ownership

Bosmos and its licensors own all rights, title, and interest in and to the Services, including software, code, interfaces, designs, workflows, models, systems, algorithms, prompts, templates, documentation, trademarks, logos, product names, and proprietary technology. Except for the limited rights expressly granted in these Terms, no rights are transferred to you. You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, extract, decompile, or attempt to derive source code from the Services except where applicable law prohibits such restriction.

17. Acceptable Use

You may not use Bosmos to:

  • violate any law, regulation, contract, or third-party right
  • send spam, unlawful marketing, or unauthorized commercial communications
  • deceive, mislead, defraud, impersonate, or manipulate others
  • harass, threaten, abuse, exploit, or harm others
  • transmit malware, malicious code, or harmful content
  • engage in phishing, credential theft, social engineering, or fraud
  • generate or send content that is unlawful, defamatory, infringing, discriminatory, or harmful
  • violate privacy, confidentiality, publicity, intellectual property, or data protection rights
  • access accounts, systems, data, or integrations without authorization
  • misuse connected email, calendar, CRM, invoicing, payment, or communication systems
  • overload, disrupt, or interfere with the Services
  • bypass usage limits, security controls, or access restrictions
  • use Bosmos to develop a competing product through unauthorized copying, scraping, or reverse engineering
  • use Bosmos for high-risk activities where failure could lead to death, personal injury, severe property damage, or critical infrastructure disruption Bosmos may suspend or terminate accounts that violate this section.

18. Communications and Outreach Compliance

If you use Bosmos to generate, send, schedule, automate, or support communications, you are responsible for ensuring those communications comply with applicable laws, rules, regulations, platform policies, and recipient preferences. This includes, where applicable:

  • anti-spam laws
  • marketing consent rules
  • email deliverability requirements
  • industry-specific communication rules
  • privacy and data protection laws
  • confidentiality obligations
  • employment or contractor obligations
  • platform terms of service
  • recipient opt-out requests Bosmos may provide workflow support, but you remain responsible for your communications, recipients, instructions, and business practices.

19. Invoicing and Payment Workflows

If you connect invoicing, payment-related, or billing tools, Bosmos may support invoice-related workflows based on the permissions and integrations you configure. Bosmos is not a bank, payment processor, collections agency, accounting firm, tax advisor, or financial advisor. Bosmos does not guarantee invoice payment, collections, revenue, successful transactions, tax compliance, or accounting accuracy. You are responsible for:

  • invoice accuracy
  • customer billing authorization
  • tax treatment
  • payment terms
  • accounting records
  • collection practices
  • compliance with applicable laws and contracts
  • reviewing payment-related outputs and workflow settings

20. Calendar and Scheduling Workflows

If you connect calendar tools, Bosmos may support scheduling workflows based on permissions and settings you configure. You are responsible for calendar accuracy, availability, attendees, meeting content, time zones, reminders, and scheduling instructions. Bosmos is not responsible for missed meetings, incorrect scheduling, attendee reactions, third-party calendar failures, or scheduling conflicts caused by settings, third-party services, or user-provided information.

21. Beta Features

Bosmos may provide beta, experimental, preview, early access, or limited release features. Beta features are provided “as is,” may be incomplete or unstable, may change or be discontinued at any time, and may not be covered by the same support, security, availability, or reliability commitments as generally available features. You use beta features at your own risk.

22. No Guaranteed Results

Bosmos may display opportunities, revenue estimates, pipeline values, workflow progress, invoice status, meetings booked, actions completed, or other business metrics. Unless expressly marked as confirmed by an integration or source of truth, these values may be estimated, inferred, user-provided, or system-generated. Bosmos does not guarantee:

  • revenue generation
  • closed deals
  • booked meetings
  • invoice payment
  • successful collections
  • customer acquisition
  • referral outcomes
  • investor interest
  • response rates
  • deliverability
  • business growth
  • accuracy of predictions
  • any specific financial result Any marketing claims, product examples, demos, estimates, forecasts, or sample results are illustrative only and are not guarantees.

23. Privacy

Your use of Bosmos is subject to our Privacy Policy. The Privacy Policy explains how we collect, use, share, and protect information, including data from connected accounts and integrations.

24. Confidentiality

If either party receives non-public business, technical, financial, product, security, or other confidential information from the other party, the receiving party will use reasonable care to protect that information and will use it only for purposes related to these Terms. Confidential information does not include information that:

  • is publicly available through no breach
  • was already known without restriction
  • is independently developed without use of confidential information
  • is lawfully received from a third party without confidentiality obligations Bosmos may disclose confidential information where required by law, provided it gives notice where legally permitted.

25. Service Availability and Changes

Bosmos may modify, suspend, discontinue, or restrict the Services or any feature at any time. We may perform maintenance, updates, security fixes, or infrastructure changes that affect availability. Bosmos does not guarantee that the Services will be uninterrupted, error-free, secure, or available at all times.

26. Suspension and Termination

Bosmos may suspend or terminate your access to the Services if:

  • you violate these Terms
  • you fail to pay amounts due
  • your use creates security, legal, operational, reputational, or financial risk
  • you misuse integrations or connected data
  • you initiate abusive or bad-faith disputes
  • required by law
  • continued service is commercially impractical You may cancel your account or subscription according to the applicable plan terms. Upon termination:
  • your right to use the Services ends
  • Bosmos may stop workflows
  • Bosmos may disconnect integrations
  • unused credits may expire
  • fees remain non-refundable unless required by law or expressly stated
  • provisions intended to survive termination will survive

27. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOSMOS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND COURSE OF PERFORMANCE. BOSMOS DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE
  • OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE
  • WORKFLOWS WILL ACHIEVE A DESIRED RESULT
  • INTEGRATIONS WILL REMAIN AVAILABLE
  • THIRD-PARTY SYSTEMS WILL FUNCTION PROPERLY
  • BUSINESS OUTCOMES WILL OCCUR

28. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOSMOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITIES, LOST GOODWILL, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOSMOS’ TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO BOSMOS FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR

  2. ONE HUNDRED U.S. DOLLARS ($100).

THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, WARRANTY, OR ANY OTHER LEGAL THEORY. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

29. Indemnification

You agree to defend, indemnify, and hold harmless Bosmos and its officers, directors, employees, contractors, agents, affiliates, suppliers, and licensors from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the Services
  • your User Content
  • your connected accounts or integrations
  • your prompts, instructions, settings, or workflows
  • your communications, outreach, invoices, calendar events, or business actions
  • your use, approval, sending, reliance on, or distribution of Output
  • your autonomous workflow settings or authorized actions
  • your violation of these Terms
  • your violation of applicable law
  • your violation of third-party rights
  • your breach of confidentiality, privacy, employment, data protection, or contractual obligations
  • your failure to obtain required permissions or consents
  • your misuse of email, calendar, CRM, invoicing, payment, or communication systems
  • disputes between you and your customers, prospects, vendors, partners, employees, contractors, or recipients Bosmos reserves the right to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate with Bosmos’ defense of any claim. You may not settle any claim in a way that imposes liability, obligations, or admissions on Bosmos without Bosmos’ prior written consent.

30. Bosmos IP Indemnity

If a third party claims that the Bosmos platform, as provided by Bosmos and used according to these Terms, directly infringes that third party’s U.S. intellectual property rights, Bosmos may, at its option:

  • defend the claim
  • obtain the right for you to continue using the affected feature
  • modify the affected feature to avoid infringement
  • replace the affected feature
  • terminate the affected feature and provide a prorated refund of prepaid unused fees for that feature, if applicable Bosmos has no obligation for claims arising from:
  • User Content
  • Output
  • your instructions, prompts, workflows, or data
  • your use of the Services in violation of these Terms
  • modifications not made by Bosmos
  • third-party integrations
  • combination with products, services, or data not provided by Bosmos
  • use after Bosmos provides a non-infringing alternative or instructs you to stop use This section states Bosmos’ sole obligation and your exclusive remedy for intellectual property infringement claims.

31. Third-Party Services

The Services may contain links to, integrations with, or functionality involving third-party products, services, websites, APIs, models, tools, or platforms. Your use of third-party services may be governed by separate terms and privacy policies. Bosmos is not responsible for third-party services and does not control their availability, security, performance, data practices, fees, or functionality.

32. Export Control and Sanctions

You may not use Bosmos in violation of U.S. export control laws, sanctions laws, or other applicable trade restrictions. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, and that you are not on any restricted party list.

33. Government Use

Bosmos is commercial computer software. If used by or on behalf of the U.S. government, the Services are provided with only those rights customarily provided to commercial users under these Terms.

34. Dispute Resolution

Before filing a formal claim, you agree to contact Bosmos at info@bosmos.org and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days, either party may bring a claim as permitted under these Terms.

35. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Except where arbitration is required under Section 36 or prohibited by applicable law, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services. You and Bosmos consent to personal jurisdiction and venue in those courts.

36. Arbitration and Class Action Waiver

To the maximum extent permitted by law, you and Bosmos agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible and either party may seek injunctive or equitable relief for misuse of intellectual property, unauthorized access, confidentiality breaches, or security threats. The arbitration will be administered by the American Arbitration Association under its applicable rules. The arbitration will take place in Delaware unless the parties agree otherwise. You and Bosmos agree that disputes will be resolved only on an individual basis and not as a class, consolidated, collective, or representative action. You and Bosmos waive any right to a jury trial. If this arbitration agreement is found unenforceable, the parties agree to the exclusive jurisdiction and venue stated in Section 35.

37. Changes to These Terms

Bosmos may update these Terms from time to time. If we make material changes, we may notify you by email, in-product notice, or by posting updated Terms on our website. Changes will apply prospectively unless otherwise stated or required by law. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms. The FTC has cautioned companies against unfair or deceptive changes to terms, especially around AI and data use, so keep future updates transparent and consistent with what users agreed to.

38. Assignment

You may not assign or transfer these Terms without Bosmos’ prior written consent. Bosmos may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or by operation of law.

39. Notices

Bosmos may provide notices by email, in-product message, website posting, or other reasonable means. You are responsible for keeping your account email address current. 40. Entire Agreement

These Terms, together with the Privacy Policy, Refund and Billing Policy, any applicable order form, and any additional terms incorporated by reference, constitute the entire agreement between you and Bosmos regarding the Services. If there is a conflict between these Terms and an order form signed by Bosmos, the order form controls only for that specific order.

41. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

42. No Waiver

Bosmos’ failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

43. Force Majeure

Bosmos is not liable for any delay, failure, loss, or damage caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet failures, power outages, cloud provider failures, third-party API failures, cyberattacks, or other events outside Bosmos’ control.
